Tavroka Terms of Service

Acceptance & Scope

These Terms form a binding contract between Tavroka Inc. ("Tavroka") and the organization or individual executing an Order, activating a subscription, or otherwise accessing the platform. Supplemental order forms or statements of work may introduce additional conditions; those documents prevail where explicitly stated.

• Use is limited to authorized employees, contractors, and partners.
• Evaluations are governed by these Terms unless superseded in writing.
• Violation of the Terms may result in suspension or termination.

Platform Access & Eligibility

You represent that you have the authority to bind the entity you act for, that you are at least 18 years old, and that you will provide accurate account information. Tavroka may require verification of identity, domain ownership, or compliance posture before granting or continuing access.

• Accounts are provisioned per organization and may not be resold.
• Credentials must be kept confidential and rotated as required.
• Usage must comply with all applicable export and trade controls.

Customer Responsibilities

Customers are responsible for the accuracy of data, workflows, and automation logic configured within Tavroka. You must ensure that integrations, scripts, and connected systems respect privacy, security, and regulatory commitments.

• Maintain backups of critical data transmitted through the platform.
• Designate an account owner to manage permissions and roles.
• Notify Tavroka immediately of unauthorized access or suspected breaches.

Service Commitments & Availability

Tavroka delivers the platform on a subscription basis, providing access to orchestration modules, connectors, observability tools, and developer interfaces. Service levels, support response targets, and onboarding packages are detailed in the applicable Order or Master Service Agreement.

• Scheduled maintenance windows will be communicated in advance.
• Emergency updates may occur to maintain security or compliance.
• Service credits are the exclusive remedy for documented uptime deviations.

Intellectual Property

Tavroka retains all intellectual property rights to the platform, connectors, documentation, and related materials. Customers receive a non-exclusive, non-transferable right to use the platform for internal business purposes for the term of their subscription.

• Feedback may be used to improve the service without obligation.
• Customers own data and content supplied to the platform.
• Third-party software accessed through Tavroka remains governed by its licensors.

Limitation of Liability

To the fullest extent permitted by law, Tavroka is not liable for lost profits, consequential damages, or indirect losses. Aggregate liability for claims arising from these Terms will not exceed the fees paid by you to Tavroka in the twelve months preceding the claim.

• Each party must mitigate damages where commercially reasonable.
• Indemnities apply only as expressly defined in applicable agreements.
• Some jurisdictions do not allow certain limitations; statutory rights remain unaffected.

Governing Law & Disputes

These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada. Disputes will be resolved through good-faith negotiation, followed by binding arbitration seated in Saskatoon unless a different venue is agreed in writing.

• Each party waives the right to class or representative actions.
• Injunctive relief may be sought in any competent court.
• Tavroka may pursue unpaid invoices in the customer's jurisdiction.

Changes & Contact

Tavroka may update these Terms to reflect product evolution or compliance obligations. Material updates will be communicated via email or in-product notices at least 30 days before the effective date.
